1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the website monitoring services provided by AIFIVE LLC, operating under the brand name UptimeTower ("UptimeTower," "we," "us," or "our"). By accessing or using our services, you agree to be bound by these Terms.

If you do not agree to these Terms, please do not use our services. The Terms constitute a legally binding agreement between you and AIFIVE LLC.

2. Services Description

UptimeTower provides website monitoring services that check the availability and performance of your websites and notify you of downtime or performance issues.

We reserve the right to modify, suspend, or discontinue any part of our services at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the services.

3. User Accounts

To use our services, you must create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

4. Subscriptions and Payments

4.1 Subscription Plans

UptimeTower offers various subscription plans with different features and pricing. By selecting a subscription plan, you agree to pay the applicable subscription fees as described on our website.

4.2 Payment Processing

We use Stripe, a third-party payment processor, to bill you through a payment account linked to your account. The processing of payments will be subject to the terms, conditions, and privacy policies of Stripe in addition to these Terms.

By providing your payment information, you authorize us to charge your payment method for all fees incurred in connection with your account. You also authorize us to share your payment information and related data with Stripe to process your payments.

4.3 Billing Cycle

Subscription fees are billed in advance on either a monthly or annual basis, depending on the subscription plan you select. Your subscription will automatically renew at the end of each billing period unless you cancel it before the renewal date.

4.4 Price Changes

We may change the fees for our subscription plans from time to time. If we change the fees for your subscription, we will provide notice of the change at least 30 days before the change takes effect. Your continued use of the services after the fee change becomes effective constitutes your agreement to pay the modified fees.

5. Cancellation and Refunds

You may cancel your subscription at any time through your account settings or by contacting our support team. Upon cancellation, your subscription will remain active until the end of your current billing period.

If you are not satisfied with our service, you may request a full refund within seven (7) days of your initial payment for a new subscription period. To request a refund, please contact our support team with your account details and reason for the request. Refunds will be processed to the original payment method within 5-10 business days.

After the 7-day period, we generally do not provide refunds for partial subscription periods. However, refunds may be considered in exceptional circumstances at our sole discretion.

6. Limitations of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL AIFIVE LLC (UPTIMETOWER), ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT PAID BY YOU TO US DURING THE PAST TWELVE (12) MONTHS.

7. Indemnification

You agree to defend, indemnify, and hold harmless AIFIVE LLC (UptimeTower), its officers, directors, employees, and agents, from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the services or your violation of these Terms.

8. Modifications to Terms

We may modify these Terms at any time by posting the revised Terms on our website or by sending you an email notification. The revised Terms will become effective upon posting or as otherwise stated in the notification. By continuing to use our services after the effective date of any modifications, you agree to be bound by the modified Terms.
